These Terms of Service (“Terms”) govern your access to and use of the Equotient business-intelligence platform, the website at equotient.ai, and the application at app.equotient.ai (together, the “Services”), provided by Anchor & Ark, LLC, doing business as Equotient (“Equotient,” “we,” “us,” or “our”). 01Acceptance & eligibility
You must be at least 18 years old and authorized to act on behalf of the business you represent. If you accept these Terms on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business. These Terms incorporate our Privacy Policy by reference.
02The Services
Equotient provides AI-powered business-intelligence tools, including the Equotient Score™, daily briefings, dashboards, and recommendations derived from business and operational data. The Services are intended to support — not replace — your own business judgment. We may add, modify, or discontinue features from time to time.
Not a healthcare service. Equotient analyzes business and operational data only. It is not a healthcare, clinical, or medical-records platform and is not intended to process Protected Health Information (PHI). You agree not to submit patient clinical records or other PHI to the Services.
03Accounts & access
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorized use. We may suspend or restrict access to protect the Services or other users.
04Third-party integrations
The Services can connect to third-party services you authorize (for example, QuickBooks Online, Google Business Profile, and others). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and your authorization of a connection is your representation that you have the right to share the associated data with us.
05QuickBooks data use
If you connect QuickBooks Online, you authorize Equotient to access certain accounting data on a read-only basis solely to generate your financial-intelligence features. We do not write to or modify your QuickBooks file. We do not sell QuickBooks data or use it to train publicly available or third-party AI models. You may disconnect at any time, and our access and use of QuickBooks data adheres to the Intuit Developer terms. Further detail is provided in our Privacy Policy.
06Acceptable use
You agree not to:
- Use the Services unlawfully or in violation of any applicable regulation;
- Upload PHI, payment-card data outside supported flows, or data you lack the right to share;
- Attempt to access another organization’s data, or probe, scan, or breach security;
- Reverse-engineer, scrape, or copy the Services or the underlying methodology except as permitted by law;
- Resell, sublicense, or provide the Services to third parties without our written consent;
- Interfere with or disrupt the integrity or performance of the Services.
07Fees & subscriptions
Paid Services are billed at the fees and on the cycle agreed at sign-up or in your order. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and may change on renewal with reasonable notice. Free pilots and trials may be offered at our discretion and may be modified or ended. Failure to pay may result in suspension or termination.
08Intellectual property
The Services, including the Equotient Score™ methodology, software, the “Equotient” name and logo, and all related content, are owned by Equotient and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes during your subscription. All rights not expressly granted are reserved.
09Your data & benchmarks
As between you and Equotient, you retain ownership of the business data you provide or connect (“Your Data”). You grant us a license to host, process, and use Your Data to operate and provide the Services. You also agree that we may create and use aggregated, anonymized, and de-identified data derived from Your Data to operate, improve, and provide benchmark features, as described in our Privacy Policy. Such aggregated data does not identify you, your business, or any individual.
10AI-generated content
The Services use artificial intelligence to generate scores, summaries, and recommendations. These outputs are provided for informational purposes, may contain errors, and are not professional financial, legal, tax, or medical advice. You are responsible for reviewing outputs and exercising your own judgment before acting on them.
11Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any insight or projection will be accurate or achieve any particular result.
12Limitation of liability
To the maximum extent permitted by law, Equotient and Anchor & Ark, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to the Services. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars (US$100).
13Indemnification
You agree to indemnify and hold harmless Equotient and Anchor & Ark, LLC and its officers, members, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your data, or your violation of these Terms or applicable law.
14Term & termination
These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or to protect the Services or other users. Upon termination, your license to use the Services ends, and we will delete or de-identify your source data as described in our Privacy Policy, except where retention is required by law. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.
15Governing law & disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Florida will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction and venue there. Nothing in this section limits any non-waivable rights you may have under applicable law.
16Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
